Job Summary:

The legal counsel will be responsible for providing timely legal advise and assistance to the activities of certain functions, such as commercial, R&D, business development, manufacture in a HKSE listed (18A) biotech company, including contracts , compliance with laws applicable and HKSE listing rules to the Company's operations, corporate governance, and monitoring of relevant legislative and regulatory developments and supervision of litigation.

Role & Responsibilities:

?Provide timely, accurate and constructive legal assistance, advice and support to business functions to comply with applicable law.

?Draft and review all contracts and agreements to ensure the best interests of the company.

?Provide legal support on matters related to HK listing rules, including post-IPO compliance & surveillance and further public fundraising.

?Provide legal assistance to company IP protection strategy, copyright claims, government investigation and other dispute resolution.

?Provide legal support to BD function on potential deals in drafting of business terms, negotiation and closing of deals with assistance of external law firms.

?Conduct legal due diligence against potential vendors;

?Review, update and manage company policies and SOPs to comply with applicable laws.

?Other tasks as designated by the line manager.

Education and Qualification: ?BA degree in law from a recognized and reputable academic institution; MA in law is a plus. ?PRC Bar is a must; ?Minimum of 4-year relevant experience in the legal function of pharmaceutical companies or to serve clients of the pharmaceutical industry in a reputable law firm. ?Relevant working experience in HKSE public companies is a plus, especially HKSE 18A; ?Strong knowledge of Civil Code of PRC, Company Law, Advertising Law, Anti Unfair Competition Law, Anti-Trust Law, Drug Administration Law, Personal Information Protection Law, FCPA, HKEX legislation and related regulations. ?Strong capability in cross-functional work and business partnering, matrix and stakeholder management with proven track record; ?Good interpersonal, and communication and presentation skills; ?Good English writing skills; ?Computer literacy, familiar with all Microsoft applications; ?Self-motivated, hard-working, detail-minded, clear thinker, quick learner, team player and ability to work independently under pressure with minimum supervision.
