工作內(nèi)容: 1、管理(在適當(dāng)?shù)谋O(jiān)督下)IPO交易的不同工作流程; 2、準(zhǔn)備上市申請(qǐng)文件并回應(yīng)監(jiān)管機(jī)構(gòu)的意見(jiàn); 3、就交易事宜、香港上市規(guī)則的影響提供咨詢并起草交易文件; 4、就香港上市規(guī)則、《證券及期貨條例》《公司收購(gòu)與合并守則》及其他監(jiān)管要求下的一般合規(guī)事宜提供咨詢。 任職要求: 1、3+PQE/5+PQE的合格律師,受過(guò)國(guó)際或大型本地律師事務(wù)所的培訓(xùn); 2、具有代表發(fā)行人和/或保薦人/承銷商處理IPO項(xiàng)目的扎實(shí)工作知識(shí)以及上市公司合規(guī)事務(wù)方面的經(jīng)驗(yàn); 3、能夠獨(dú)立工作,具有良好的法律起草、談判、陳述和分析能力; 4、優(yōu)秀的中英文書面和口語(yǔ)溝通能力(流利的普通話是必須的)。 Corporate ASSOCIATES (3+ PQE/ 5+ PQE) Main duties and responsibilities: 1. Managing (with appropriate supervision) different workstreams of IPO transactions; 2. Advising on general compliance matters under Hong Kong Listing Rules, the Securities and Future Ordinance, the Code on Takeovers and Mergers and other regulatory requirements. Skills and experience required: 1. Qualified lawyerspreferably trained with international or large local law firm; 2. Solid working knowledge in IPO projects and experience in listed companies' compliance matters; 3. Able to work independently and have good legal drafting, negotiation, presentation and analytical skills; 4. Excellent communication skills in both written and spoken English and Chinese (fluency in Mandarin is a must).
